3.2IfthereisanycontradictionbetweenwhattheEnglishlanguageversionoftheTermssaysandwhatatranslationsays,thentheEnglishlanguageversionshalltakeprecedence.

4.1Googlehassubsidiariesandaffiliatedlegalentitiesaroundtheworld(“SubsidiariesandAffiliates”).Sometimes,thesecompanieswillbeprovidingtheServicestoyouonbehalfofGoogleitself.YouacknowledgeandagreethatSubsidiariesandAffiliateswillbeentitledtoprovidetheServicestoyou.

4.2Googleisconstantlyinnovatinginordertoprovidethebestpossibleexperienceforitsusers.YouacknowledgeandagreethattheformandnatureoftheServiceswhichGoogleprovidesmaychangefromtimetotimewithoutpriornoticetoyou.

7.1Youunderstandthatallinformation(suchasdatafiles,writtentext,computersoftware,music,audiofilesorothersounds,photographs,videosorotherimages)whichyoumayhaveaccesstoaspartof,orthroughyouruseof,theServicesarethesoleresponsibilityofthepersonfromwhichsuchcontentoriginated.Allsuchinformationisreferredtobelowasthe“Content.”

(A)youhavebreachedanyprovisionoftheTerms(orhaveactedinmannerwhichclearlyshowsthatyoudonotintendto,orareunabletocomplywiththeprovisionsoftheTerms);or

(B)Googleisrequiredtodosobylaw(forexample,wheretheprovisionoftheServicestoyouis,orbecomes,unlawful);or

(C)thepartnerwithwhomGoogleofferedtheServicestoyouhasterminateditsrelationshipwithGoogleorceasedtooffertheServicestoyou;or

(D)GoogleistransitioningtonolongerprovidingtheServicestousersinthecountryinwhichyouareresidentorfromwhichyouusetheservice;or

19.6YouacknowledgeandagreethateachmemberofthegroupofcompaniesofwhichGoogleistheparentshallbethirdpartybeneficiariestotheTermsandthatsuchothercompaniesshallbeentitledtodirectlyenforce,andrelyupon,anyprovisionoftheTermswhichconfersabenefiton(orrightsinfavorof)them.Otherthanthis,nootherpersonorcompanyshallbethirdpartybeneficiariestotheTerms.

19.7TheTerms,andyourrelationshipwithGoogleundertheTerms,shallbegovernedbythelawsoftheStateofCaliforniawithoutregardtoitsconflictoflawsprovisions.YouandGoogleagreetosubmittotheexclusivejurisdictionofthecourtslocatedwithinthecountyofSantaClara,CaliforniatoresolveanylegalmatterarisingfromtheTerms.Notwithstandingthis,youagreethatGoogleshallstillbeallowedtoapplyforinjunctiveremedies(oranequivalenttypeofurgentlegalrelief)inanyjurisdiction.

20.1ThesetermsinthissectionapplyifyouinstallextensionsonyourcopyofGoogleChrome.Extensionsaresmallsoftwareprograms,developedbyGoogleorthirdparties,thatcanmodifyandenhancethefunctionalityofGoogleChrome.Extensionsmayhavegreaterprivilegestoaccessyourbrowseroryourcomputerthanregularwebpages,includingtheabilitytoreadandmodifyyourprivatedata.

20.2Fromtimetotime,GoogleChromemaycheckwithremoteservers(hostedbyGoogleorbythirdparties)foravailableupdatestoextensions,includingbutnotlimitedtobugfixesorenhancedfunctionality.Youagreethatsuchupdateswillbeautomaticallyrequested,downloaded,andinstalledwithoutfurthernoticetoyou.

21.2SubjecttotheTerms,andinadditiontothelicensegrantinSection9,Googlegrantsyouanon-exclusive,non-transferablelicensetoreproduce,distribute,install,anduseGoogleChromesolelyonmachinesintendedforusebyyouremployees,officers,representatives,andagentsinconnectionwithyourbusinessentity,andprovidedthattheiruseofGoogleChromewillbesubjecttotheTerms.

(a)SublicenseeshallensurethattheAdobeSoftwareisdistributedtoendusersunderanenforceableenduserlicenseagreement,infavorofSublicenseeanditssupplierscontainingatleasteachofthefollowingminimumterms(the“End-UserLicense”):(i)aprohibitionagainstdistributionandcopying,(ii)aprohibitionagainstmodificationsandderivativeworks,(iii)aprohibitionagainstdecompiling,reverseengineering,disassembling,andotherwisereducingtheAdobeSoftwaretoahuman-perceivableform,(iv)aprovisionindicatingownershipofSublicenseeProduct(asdefinedinSection8)bySublicenseeanditslicensors,(v)adisclaimerofindirect,special,incidental,punitive,andconsequentialdamages,and(vi)otherindustrystandarddisclaimersandlimitations,including,asapplicable:adisclaimerofallapplicablestatutorywarranties,tothefullextentallowedbylaw.

(b)SublicenseeshallensurethattheAdobeSoftwareisdistributedtoSublicensee’sdistributorsunderanenforceabledistributionlicenseagreement,infavorofSublicenseeanditssupplierscontainingtermsasprotectiveofAdobeastheAdobeTerms.

4.Opensource.Sublicenseewillnotdirectlyorindirectlygrant,orpurporttogrant,toanythirdpartyanyrightsorimmunitiesunderAdobe’sintellectualpropertyorproprietaryrightsthatwillsubjectsuchintellectualpropertytoanopensourcelicenseorschemeinwhichthereisorcouldbeinterpretedtobearequirementthatasaconditionofuse,modificationand/ordistribution,theAdobeSoftwarebe:(i)disclosedordistributedinsourcecodeform;(ii)licensedforthepurposeofmakingderivativeworks;or(iii)redistributableatnocharge.Forclarificationpurposes,theforegoingrestrictiondoesnotprecludeSublicenseefromdistributing,andSublicenseewilldistributetheAdobeSoftwareasbundledwiththeGoogleSoftware,withoutcharge.

10.Export.SublicenseeacknowledgesthatthelawsandregulationsoftheUnitedStatesrestricttheexportandre-exportofcommoditiesandtechnicaldataofUnitedStatesorigin,whichmayincludetheAdobeSoftware.Sublicenseeagreesthatitwillnotexportorre-exporttheAdobeSoftware,withouttheappropriateUnitedStatesandforeigngovernmentalclearances,ifany.

(a)Exceptpursuanttoapplicablepermissionsoragreementstherefor,fromorwiththeapplicableparties,Sublicenseesshallnotuseandshallnotallowtheuseof,theAdobeSoftwarefortheencodingordecodingofmp3audioonly(.mp3)dataonanynon-pcdevice(e.g.,mobilephoneorset-topbox),normaythemp3encodersordecoderscontainedintheAdobeSoftwarebeusedoraccessedbyanyproductotherthantheAdobeSoftware.TheAdobeSoftwaremaybeusedfortheencodingordecodingofMP3datacontainedwithinaswforflvfile,whichcontainsvideo,pictureorotherdata.SublicenseeshallacknowledgethatuseoftheAdobeSoftwarefornon-PCdevices,asdescribedintheprohibitionsinthissection,mayrequirethepaymentoflicensingroyaltiesorotheramountstothirdpartieswhomayholdintellectualpropertyrightsrelatedtotheMP3technologyandthatAdobenorSublicenseehasnotpaidanyroyaltiesorotheramountsonaccountofthirdpartyintellectualpropertyrightsforsuchuse.IfSublicenseerequiresanMP3encoderordecoderforsuchuse,Sublicenseeisresponsibleforobtainingthenecessaryintellectualpropertylicense,includinganyapplicablepatentrights.

(b)Sublicenseewillnotuse,copy,reproduceandmodify(i)theOn2sourcecode(providedhereunderasacomponentoftheSourceCode)asnecessarytoenabletheAdobeSoftwaretodecodevideointheFlashvideofileformat(.flvor.f4v),and(ii)theSorensonSparksourcecode(providedhereunderasacomponentoftheSourceCode)forthelimitedpurposeofmakingbugfixesandperformanceenhancementstotheAdobeSoftware.AllcodecsprovidedwiththeAdobeSoftwaremayonlybeusedanddistributedasanintegratedpartoftheAdobeSoftwareandmaynotbeaccessedbyanyotherapplication,includingotherGoogleapplications.

(c)TheSourceCodemaybeprovidedwithanAACcodecand/orHE-AACcodec(“theAACCodec”).UseoftheAACCodecisconditionedonSublicenseeobtainingaproperpatentlicensecoveringnecessarypatentsasprovidedbyVIALicensing,forendproductsonorinwhichtheAACCodecwillbeused.SublicenseeacknowledgesandagreesthatAdobeisnotprovidingapatentlicenseforanAACCodecunderthisAgreementtoSublicenseeoritssublicensees.

12.Update.SublicenseewillnotcircumventGoogle’sorAdobe’seffortstoupdatetheAdobeSoftwareinallSublicensee’sproductsincorporatingtheAdobeSoftwareasbundledwiththeGoogleSoftware(“SublicenseeProducts”).

13.AttributionandProprietaryNotices.SublicenseewilllisttheAdobeSoftwareinpubliclyavailableSublicenseeProductspecificationsandincludeappropriateAdobeSoftwarebranding(specificallyexcludingtheAdobecorporatelogo)ontheSublicenseeProductpackagingormarketingmaterialsinamannerconsistentwithbrandingofotherthirdpartyproductscontainedwithintheSublicenseeProduct.

14.NoWarranty.THEADOBESOFTWAREISMADEAVAILABLETOSUBLICENSEEFORUSEANDREPRODUCTION“ASIS”ANDADOBEMAKESNOWARRANTYASTOITSUSEORPERFORMANCE.ADOBEANDITSSUPPLIERSDONOTANDCANNOTWARRANTTHEPERFORMANCEORRESULTSOBTAINEDBYUSINGTHEADOBESOFTWARE.EXCEPTFORANYWARRANTY,CONDITION,REPRESENTATIONORTERMTOTHEEXTENTTOWHICHTHESAMECANNOTORMAYNOTBEEXCLUDEDORLIMITEDBYLAWAPPLICABLETOSUBLICENSEEINSUBLICENSEE’SJURISDICTION,ADOBEANDITSSUPPLIERSMAKENOWARRANTIES,CONDITIONS,REPRESENTATIONS,ORTERMS(EXPRESSORIMPLIEDWHETHERBYSTATUTE,COMMONLAW,CUSTOM,USAGEOROTHERWISE)ASTOANYMATTERINCLUDINGWITHOUTLIMITATIONNONINFRINGEMENTOFTHIRDPARTYRIGHTS,MERCHANTABILITY,INTEGRATION,SATISFACTORYQUALITY,ORFITNESSFORANYPARTICULARPURPOSE.SUBLICENSEEAGREESTHATSUBLICENSEESHALLNOTMAKEANYWARRANTY,EXPRESSORIMPLIED,ONBEHALFOFADOBE.

15.LimitationofLiability.INNOEVENTWILLADOBEORITSSUPPLIERSBELIABLETOSUBLICENSEEFORANYDAMAGES,CLAIMSORCOSTSWHATSOEVERORANYCONSEQUENTIAL,INDIRECT,ORINCIDENTALDAMAGES,ORANYLOSTPROFITSORLOSTSAVINGS,EVENIFANADOBEREPRESENTATIVEHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHLOSS,DAMAGES,CLAIMSORCOSTSORFORANYCLAIMBYANYTHIRDPARTY.THEFOREGOINGLIMITATIONSANDEXCLUSIONSAPPLYTOTHEEXTENTPERMITTEDBYAPPLICABLELAWINSUBLICENSEE’SJURISDICTION.ADOBE’SAGGREGATELIABILITYANDTHATOFITSSUPPLIERSUNDERORINCONNECTIONWITHTHISAGREEMENTSHALLBELIMITEDTOONETHOUSANDDOLLARS(US$1,000).NothingcontainedinthisAgreementlimitsAdobe’sliabilitytoSublicenseeintheeventofdeathorpersonalinjuryresultingfromAdobe’snegligenceorforthetortofdeceit(fraud).Adobeisactingonbehalfofitssuppliersforthepurposeofdisclaiming,excludingand/orlimitingobligations,warrantiesandliabilityasprovidedinthisAgreement,butinnootherrespectsandfornootherpurpose.

“ContentProtectionFunctions”meansthoseaspectsoftheAdobeSoftwarethataredesignedtoensurecompliancewiththeComplianceandRobustnessRules,andtopreventplayback,copying,modification,redistributionorotheractionswithrespecttodigitalcontentdistributedforconsumptionbyusersoftheAdobeSoftwarewhensuchactionsarenotauthorizedbytheownersofsuchdigitalcontentoritslicenseddistributors.

“ContentProtectionCode”meanscodewithincertaindesignatedversionsoftheAdobeSoftwarethatenablescertainContentProtectionFunctions.

b.1.SublicenseeandcustomersmayonlydistributetheAdobeSoftwarethatmeetstheRobustnessandComplianceRulesassoconfirmedbySublicenseeduringtheverificationprocessdescribedaboveintheAdobeTerms.

b.2.Sublicenseeshallnot(i)circumventtheContentProtectionFunctionsofeithertheAdobeSoftwareoranyrelatedAdobeSoftwarethatisusedtoencryptordecryptdigitalcontentforauthorisedconsumptionbyusersoftheAdobeSoftwareor(ii)developordistributeproductsthataredesignedtocircumventtheContentProtectionFunctionsofeithertheAdobeSoftwareoranyAdobeSoftwarethatisusedtoencryptordecryptdigitalcontentforauthorisedconsumptionbyusersoftheAdobeSoftware.

(c)TheKeysareherebydesignatedasAdobe’sConfidentialInformation,andSublicenseewill,withrespecttotheKeys,adheretoAdobe’sSourceCodeHandlingProcedure(tobeprovidedbyAdobeuponrequest).

(d)InjunctiveRelief.SublicenseeagreesthatabreachofthisAgreementmaycompromisetheContentProtectionFunctionsoftheAdobeSoftwareandmaycauseuniqueandlastingharmtotheinterestsofAdobeandownersofdigitalcontentthatrelyonsuchContentProtectionFunctions,andthatmonetarydamagesmaybeinadequatetocompensatefullyforsuchharm.Therefore,SublicenseefurtheragreesthatAdobemaybeentitledtoseekinjunctiverelieftopreventorlimittheharmcausedbyanysuchbreach,inadditiontomonetarydamages.

17.IntendedThird-partyBeneficiary.AdobeSystemsIncorporatedandAdobeSoftwareIrelandLimitedaretheintendedthird-partybeneficiariesofGoogle’sagreementwithSublicenseewithrespecttotheAdobeSoftware,includingbutnotlimitedto,theAdobeTerms.Sublicenseeagrees,notwithstandinganythingtothecontraryinitsagreementwithGoogle,thatGooglemaydiscloseSublicensee’sidentitytoAdobeandcertifyinwritingthatSublicenseehasenteredintoalicenseagreementwithGooglewhichincludestheAdobeTerms.Sublicenseemusthaveanagreementwitheachofitslicensees,andifsuchlicenseesareallowedtoredistributetheAdobeSoftware,suchagreementwillincludetheAdobeTerms.
